ARTICLE I : MEMBERSHIP SECTION A: This organization shall have three (3) types of membership: 1. Regular membership is open to individuals, 21 years of age or over, interested in the objectives of this organization, able to attend meetings and participate in organization activities. Regular members have all privileges of membership, including the right to vote and hold office. 2. Associate membership is open to individuals interested in the objectives of this organization, but unable to take an active role in the organization functions. Associate members cannot vote or hold office. 3. Honorary membership may be granted from time to time to deserving individuals. Honorary members cannot vote or hold office. SECTION B: Nomination for Membership: 1. A request for membership shall be by nomination from a regular member in good standing. Following nomination, membership must be confirmed by a majority vote of the regular members of this organization present at the meeting. SECTION C: Attendance of Prospective Members: 1. Prospective regular or associate members must attend three (3) regular meetings, which need not be consecutive, as the guest of a current member of good standing, before they are nominated for membership. Prospective members may be nominated and confirmed for membership, at the conclusion of their attendance at the fourth(4) regular meeting. ARTICLE II--MEETINGS SECTION A: Regular meetings: 1. Shall be held four times a year; date and time to be decided by a majority of the regular members. SECTION B: The Board of Directors: 1. The Board of Directors shall meet at the times called by the President. SECTION C: Special meetings: 1. Special meetings may be called at any time, by the President or by written request of three (3) or more regular members. SECTION D: A quorum for the purpose of transacting the business of this organization shall consist of the following: 1. For annual, regular, and special meetings, a quorum shall consist of twenty five percent (25%) of the regular, non-officer members, and two officers. 2. For Board of Directors meetings, a quorum shall consist of a majority of the members of the Board, including one of the directors who is not an officer of this organization. ARTICLE III--ELECTIONS SECTION A: Election of officers, directors, and delegates shall be elected as follows: 1. Officers, directors, and the delegate to the Annual Meeting of the Cat Fanciers’ Association, Inc., or other special CFA meetings shall be elected at the organization’s annual meeting. Officers, directors, and the delegate shall be nominated from the floor, and voted upon by ballot. They shall be elected by a majority vote of the regular members in good standing present at the meeting, and shall serve for two years. 2. Any vacancy occurring in an officer’s, a director’s or the delegate’s position shall be filled for the remainder of the term, by a Board of Directors appointment. ARTICLE IV--DUTIES OF OFFICERS, DIRECTORS, AND CFA DELEGATE SECTION A: The President: 1. Shall be the chief executive officer, preside at all meetings and perform all duties incident to this office; 2. Shall appoint committees as needed; 3. Shall serve as, ex officio, a member at all committees. SECTION B: The Vice President: 1. Shall in the absence of the President, or in the event of the President’s inability or refusal to act, perform the duties of the President. SECTION C: The Secretary: 1. Shall serve as the recording and corresponding officer, and perform all duties incident to this office; 2. Shall keep record of all meetings, and report from these records, including any corrections, at regular meetings; 3. Shall keep a roll of members with their addresses, and if provided telephone numbers and electronic mail addresses; 4. Shall keep copies of all incoming correspondence and outgoing correspondence, written on behalf of this organization; direct correspondence to the Board of Directors as appropriate; and report all correspondence at regular meetings; 5. Shall serve as the contact person for CFA. SECTION D: The Treasurer: 1. Shall be the chief financial officer, have custody of all moneys of the organization, and perform all duties incident to this office; 2. Shall deposit all moneys in the name of the organization in such banks or other depositories, as selected by the Board of Directors; 3. Shall keep records of all receipts and expenditures, and report all financial activities and commitments at regular meetings; 4. Shall present, before disbursement of this organization’s funds, any expenditure or proposed expenditure, for approval at a regular meeting of this organization, by a majority vote of the regular members present at the meeting. SECTION E: Proposed Expenditures: 1. The Board of Directors, subject to the provisions of law and any limitations in this organization’s Constitution, and these accompanying Bylaws relating to action required or permitted to be taken or approved by the members, shall conduct all activities and affairs of this organization, including but not limited to all financial affairs and financial commitments. Any expenditure or proposed expenditure of this organization’s funds, which would exceed ONE HUNDRED DOLLARS ($100.00), must be approved at a regular meeting of this organization, by a majority vote of the regular members present at the meeting. SECTION F: CFA Club Delegate Vote: 1. Under the provisions of the CFA Constitution, each full member CFA club in good standing, is entitled to cast one vote at all annual or special meetings of CFA. This organization’s delegate to The Annual Meeting of The Cat Fancier’s Association, Inc., or other special CFA meeting, must comply with all Articles and Sections of the CFA Constitution, pertaining to said delegates. ARTICLE V--DUES SECTION A: Individual Dues: 1. The annual dues for individual membership in this organization are FIFTEEN DOLLARS ($15.00), for regular members. Honorary and associate members shall pay no dues. SECTION B: Husband and Wife Membership Dues: 1. The annual dues for this organization are TWENTY-FIVE DOLLARS ($25.00), for husband and wife membership. Each spouse is considered a regular member, each with all privileges of membership, including the right to vote and hold office. SECTION C: Failure to Pay Annual Dues: 1. Upon failure to pay annual dues by the first day of June, the delinquent member may be dropped from membership. ARTICLE VI--DISCIPLINE SECTION A: Enforcement of The Constitution and Bylaws: 1. The Board of Directors shall enforce the Constitution and Bylaws of this organization. The board may reprimand, suspend or expel from membership any person who, after a fair hearing of both the accuser and accused, shall be found guilty of conduct detrimental or harmful to this organization, or the welfare of cats or the cat fancy. 2. To proceed with disciplinary action, all charges must be made in writing, and a copy of the charges shall be provided to the accused at least thirty (30) days, prior to the hearing date. The decision by a two-thirds majority vote of the Board shall be binding on all parties. ARTICLE VII--AMENDMENTS These Bylaws may be amended as provided in the Constitution.
