![]() CONSTITUTIONFranciscan Silver & Golden Fanciers Amended July 2003 ARTICLE I--NAME SECTION A: Name of this Organization: 1. Established in 1960, the name of this organization is FRANCISCAN SILVER & GOLDEN FANCIERS, formerly known and recognized as FRANCISCAN SILVER FANCIERS. ARTICLE II--AFFILIATION SECTION A: CFA Affiliated Nonprofit Club: 1. This organization is a nonprofit club affiliated with The Cat Fancier’s Association, Inc., (CFA) and is not organized for the private gain of any person. No part of any profit, dues or donations to the organization, shall be used to the benefit of any member of this organization or any other private individual. ARTICLE III--OBJECTIVES SECTION A: Purpose of the Franciscan Silvers & Golden Fanciers: 1. The specific purposes of the Franciscan Silver & Golden Fanciers organization are to encourage the improvement and promotion of pedigreed cats as published in The Cat Fancier’s Association, Inc., Show Standards specifically for: a. The various color classes in the Silver and Golden Division of the Persian Breed; and b. The above same color classes for the Exotic Breed, as published for the Silver and Golden Persian Division. 2. To share knowledge and promote the interests of breeders and exhibitors of the above pedigreed cats. This includes, but is not limited to, advocating the evolution of CFA Show Standards for the above-specified breeds. 3. To produce and sponsor exhibits, educational materials and special honors relative to the above specific breeds. 4. To support and promote the welfare of all cats. 5. To promote sportsmanship and friendship among all cat fanciers. ARTICLE IV--MEMBERSHIP SECTION A: ELIGIBILITY FOR MEMBERSHIP: 1. Any person interested in the objectives of this organization is eligible for membership. ARTICLE V--OFFICERS AND DIRECTORS SECTION A: Officers: 1. The officers of this organization shall be a President, a Vice President, a Secretary, and a Treasurer, elected from the regular membership as provided in the Bylaws. The same person may hold any number of offices except that neither the secretary nor the treasurer may serve as the president. SECTION B: Board of Directors: 1. This organization shall have a Board of Directors composed of seven (7) members, including the above officers. The three, four or five additional Board members shall be directors, elected from the regular membership as provided in the Bylaws. ARTICLE VI--MEETINGS SECTION A: Regular and Annual Meetings: 1. The annual meeting shall be held the first regular meeting after the first day of January. All regular meetings shall be held as provided by the Bylaws. ARTICLE VII--DUES SECTION A: Annual Dues: 1. Annual dues shall be payable on or before the last day of January or upon new members’ initial acceptance of membership. The amount of dues payable shall be provided in the Bylaws. ARTICLE VIII--DISSOLUTION SECTION A: Dissolution of the Franciscan Silver Fanciers’ Organization: 1. Upon dissolution of this organization, its property or other assets remaining after payment or provision for payment of all debts, and liabilities of this organization, shall be distributed consistent with the policies of The Cat Fanciers’ Association, Inc., to a nonprofit fund or organization. Under no circumstances shall any such property or assets be distributed to any member of this organization, or any other private individual, except as payment for debts or liabilities, which have been previously documented by an officer of the organization in writing. ARTICLE IX--AMENDMENTS SECTION A: Process by which to Amend the Constitution or the Bylaws: 1. This Constitution and accompanying Bylaws may be amended at any regular meeting of this organization, by a two-thirds majority vote of the regular members present, provided the text of the amendment was provided to all members two-weeks prior to the meeting. SECTION B: Copies of the Constitution and the Bylaws: 1. An electronic copy of this Constitution and accompanying Bylaws incorporating all approved amendments shall be placed, and maintained in this organization’s business record archives. SECTION C: Submission of Approved Amended Constitution and Bylaws: 1. A copy of this Constitution and accompanying Bylaws, incorporating all approved amendments and signed by the secretary, shall be submitted to The Cat Fanciers’ Association, Inc., for their acceptance and filing.
